What's covered

  • Form 11 is the annual return of a Limited Liability Partnership under the LLP Act 2008. It is the partner-and-contribution snapshot of the LLP and is filed within 60 days of the close of the financial year, which works out to roughly 30 May for a year ending 31 March.
  • The return lists the designated partners and partners, records each partner's contribution and the summary of partners, and discloses details of any penalties or compounding offences during the year. It does not include the LLP's accounts or solvency statement — those are reported separately in Form 8, so Form 11 is only one half of the LLP's annual cycle.
  • Because Form 11 is the first of the two annual filings, it is often the LLP's earliest compliance deadline of the year. An additional fee accrues for each day the return is delayed; the LLP late-fee structure has been revised into slabs, so the amount payable depends on the current rules and the size of the LLP and is confirmed before filing.
  • We collate the partner and contribution details, reconcile them against the LLP agreement and the prior year's return, and file Form 11 with the designated partners' digital signatures inside the window.     Collate partner and contribution details

    Gather the current list of designated partners and partners, each partner's agreed and paid-in contribution, and details of any other companies or LLPs in which the partners hold a directorship or partnership, as the return requires these disclosures.

  2. 02

    Reconcile against the LLP agreement

    Check the partner and contribution details against the LLP agreement and any supplementary agreements executed during the year, and against the prior-year Form 11, so that changes in partners or contributions are correctly reflected.

  3. 03

    File Form 11 before the due date

    File Form 11 with the Registrar within 60 days of the financial year-end — approximately 30 May — signed with a designated partner's Digital Signature Certificate. Filing early avoids the daily additional fee that accrues on delay.
