What's covered

  • A Limited Liability Partnership is governed by the LLP Act 2008 and combines the operational flexibility of a partnership with limited liability.
  • Partners are not personally liable for the LLP's debts beyond their agreed contribution, and one partner is not liable for the misconduct of another.
  • An LLP requires at least two partners, of whom at least two must be designated partners holding a Designated Partner Identification Number (DPIN) and a Digital Signature Certificate (DSC).

  1. 01

    Obtain DSC and DPIN

    Apply for a Digital Signature Certificate and a Designated Partner Identification Number for each designated partner — usually issued in 1–2 working days.

  2. 02

    Reserve the name and file FiLLiP

    Reserve the LLP name through the MCA and file the FiLLiP incorporation form with subscriber details; approval typically follows in 7–12 working days.

  3. 03

    File the LLP agreement (Form 3)

    File the LLP agreement in Form 3 within 30 days of incorporation, setting out partner rights, duties and profit-sharing.
